Welcome to Koa. These Terms of Service ("Terms") govern your use of the Koa mobile application ("App") provided by Koa ("we," "our," or "us"). By downloading, installing, or using the App, you agree to be bound by these Terms.

Please read these Terms carefully before using the App. If you do not agree to these Terms, do not use the App.

Acceptance of Terms

By accessing or using Koa, you confirm that:

  • You have read, understood, and agree to be bound by these Terms
  • You have read and agree to our Privacy Policy
  • You are at least 13 years old
  • You have the legal capacity to enter into this agreement

Your continued use of the App following any updates to these Terms constitutes acceptance of those changes.

Description of Service

Koa is an AI-powered public speaking coach that helps you improve your communication skills. The App provides:

  • Voice recording and on-device transcription
  • AI-generated coaching feedback
  • Speech metrics analysis
  • Practice scenarios
  • Session history and progress tracking

License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a device that you own or control, solely for your personal, non-commercial purposes.

3.1 Restrictions

You agree not to:

  • Copy, modify, or distribute the App or any part of it
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
  • Rent, lease, lend, sell, or sublicense the App
  • Remove, alter, or obscure any proprietary notices in the App
  • Use the App for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorized access to the App or its related systems

3.2 Apple Acknowledgment

You acknowledge that:

  • These Terms are between you and Koa only, not Apple Inc. ("Apple")
  • Koa, not Apple, is solely responsible for the App and its content
  • Apple has no obligation to provide maintenance or support for the App
  • Apple is not responsible for any claims relating to the App or your use of it
  • Apple is a third-party beneficiary of these Terms and may enforce them against you

Eligibility

4.1 Age Requirements

The App is intended for users who are at least 13 years old. If you are under 18, you represent that you have your parent's or guardian's permission to use the App. If you are a parent or guardian permitting a minor to use the App, you agree to be bound by these Terms and are responsible for the minor's activity.

4.2 Account Security

You are responsible for maintaining the security of your device and any data stored within the App. We are not liable for any loss or damage arising from unauthorized access to your device.

Subscription Terms

5.1 Subscription Plans

Koa offers the following subscription options:

per year ($6.67/mo)

Prices may vary by location and are subject to change. Current pricing is displayed in the App.

5.2 Free Trial

New subscribers may be eligible for a free trial period:

  • App Store Trial: A 3-day free trial is available with subscription purchase. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically begin and you will be charged.
  • 24-Hour Trial: In certain circumstances, we may offer a 24-hour trial. This trial is offered once per user and provides temporary full access to the App.

5.3 Billing and Renewal

  • Payment is charged to your Apple ID account upon confirmation of purchase
  • Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period
  • Your account will be charged for renewal within 24 hours prior to the end of the current period
  • Renewal charges will be at the current subscription rate

5.4 Payment Processing

All payments are processed by Apple through the App Store. Koa does not collect, store, or have access to your payment card information.

Cancellation and Refunds

6.1 How to Cancel

You may cancel your subscription at any time through your device settings:

  3. 3Tap Koa
  4. 4Tap Cancel Subscription

Alternatively, visit apps.apple.com/account/subscriptions to manage your subscriptions.

6.2 Effect of Cancellation

  • Cancellation takes effect at the end of your current billing period
  • You will retain access to premium features until the period ends
  • No refunds are provided for unused portions of a subscription period

6.3 Refunds

Refund requests are handled by Apple in accordance with their policies. To request a refund:

We cannot process refunds directly as all payments go through Apple.

Acceptable Use Policy

7.1 Permitted Use

You may use the App to:

  • Record and practice speeches, presentations, and conversations
  • Receive AI-generated coaching feedback
  • Track your speaking progress
  • Access practice scenarios

7.2 Prohibited Conduct

You agree not to:

  • Use the App for any illegal purpose or to violate any laws
  • Record or transcribe the speech of others without their consent
  • Upload content that is defamatory, obscene, or violates others' rights
  • Attempt to extract, copy, or reverse engineer the AI model or prompts
  • Use the App to develop competing products or services
  • Share your subscription access with others
  • Circumvent any technical measures we use to provide the App
  • Use automated systems to access the App in a manner that exceeds normal use
  • Interfere with or disrupt the App's servers or networks

Intellectual Property

8.1 Our Property

The App, including its design, features, content, AI models, prompts, and branding, is owned by Koa and protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted in these Terms are reserved.

8.2 Your Content

You retain ownership of:

  • Your voice recordings
  • Your transcripts
  • Any text or content you create within the App

By using the App, you grant us a limited license to:

  • Process your recordings on your device for transcription
  • Send your transcripts to AI services to generate feedback
  • Store your data locally on your device

We do not claim ownership of your recordings or transcripts, and we do not use your content to train AI models.

8.3 Feedback

If you provide suggestions, feedback, or ideas about the App, you grant us an unrestricted, perpetual license to use such feedback without compensation to you.

AI Coaching Disclaimers

Important: The AI coaching feedback provided by Koa is intended solely for personal education and self-improvement. It is not a substitute for professional coaching, therapy, medical advice, or any other professional service.

9.1 No Guarantee of Accuracy

While we strive to provide helpful and relevant feedback, the AI may:

  • Produce errors or inaccuracies
  • Miss contextual nuances in your speech
  • Provide suggestions that may not suit your specific situation
  • Generate feedback that is generic or not fully applicable

You acknowledge that AI technology has limitations and you should not rely solely on the App for high-stakes speaking engagements.

9.2 Your Responsibility

You are solely responsible for:

  • Evaluating the quality and relevance of AI feedback
  • Deciding whether to follow any suggestions
  • Seeking professional coaching when appropriate
  • Any consequences resulting from following or ignoring feedback

9.3 Not Professional Advice

The App does not provide:

  • Medical or psychological advice
  • Legal advice
  • Professional speech therapy
  • Career counseling

If you have concerns about speech disorders, anxiety, or related issues, please consult a qualified professional.

Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF CONTENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION

We do not warrant that:

  • The App will meet your specific requirements
  • The App will be available at all times or in all locations
  • Any errors will be corrected
  • The AI feedback will be accurate, complete, or suitable for your needs

Limitation of Liability

12.1 Cap on Damages

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE GREATER OF:

  • • The amount you paid us in the 12 months preceding the claim, or
  • • One hundred dollars ($100)

12.2 Exclusion of Damages

WE SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damage to your reputation or career
  • Outcomes of speeches or presentations
  • Decisions made based on AI feedback
  • Service interruptions or data loss

12.3 Basis of the Bargain

YOU ACKNOWLEDGE THAT THESE LIMITATIONS ARE AN ESSENTIAL ELEMENT OF THE AGREEMENT AND THAT WE WOULD NOT PROVIDE THE APP WITHOUT THEM.

Indemnification

You agree to indemnify, defend, and hold harmless Koa and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any third party's rights
  • Content you create or share through the App

Termination

14.1 By You

You may stop using the App at any time by:

  • Uninstalling the App from your device
  • Cancelling your subscription (see Section 6)

14.2 By Us

We may suspend or terminate your access to the App immediately if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Continued provision of the App is not commercially viable
  • We are required to do so by law

14.3 Effect of Termination

Upon termination:

  • Your license to use the App ends immediately
  • Your subscription will be cancelled with no refund for unused time
  • Locally stored data remains on your device until you delete it

Dispute Resolution

15.1 Informal Resolution

Before filing any legal claim, you agree to contact us at adirfromkoa@gmail.com to attempt to resolve the dispute informally. We will try to resolve the matter within 30 days.

15.2 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

15.3 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in Delaware for any disputes not resolved informally.

15.4 Class Action Waiver

You agree to resolve disputes with us on an individual basis. You waive any right to participate in class action lawsuits or class-wide arbitration.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Koa regarding the App.

Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

Waiver

Our failure to enforce any right will not be considered a waiver of those rights.

Assignment

You may not assign these Terms. We may assign our rights to any affiliate or successor.

Changes to These Terms

We may update these Terms from time to time. When we make changes:

  • We will update the "Last Updated" date at the top
  • For material changes, we will notify you through the App or via email
  • Continued use of the App after changes constitutes acceptance

If you do not agree to the updated Terms, you must stop using the App.
